  • Website Terms of Use

Of Counsel Limited

  1. Introduction and acceptance of these Terms

These Website Terms of Use (“Terms“) govern your access to and use of the website operated by Of Counsel Limited (“Of Counsel“, “we“, “us“, “our“), including all pages, sub-domains and content made available on it (the “Site“).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you should not use the Site.

These Terms should be read alongside our Privacy Policy and Cookie Policy, which explain how we handle personal data and cookies and form part of these Terms by reference.

These Terms govern use of the Site only. They do not constitute, and should not be read as, an engagement contract between Of Counsel, any lawyer within our network (“Counsel“) and any business seeking legal support (“Client Business“). Any such engagement is governed by separate terms of business agreed directly between the relevant parties.

  1. Important notice: we are not a law firm

Of Counsel is a people business, not a law firm.

Of Counsel does not provide legal advice and is not authorised or regulated by the Solicitors Regulation Authority.

Nothing on the Site constitutes legal advice, and nothing on the Site should be relied upon as such. The Site exists to introduce experienced, independent lawyers to businesses that may wish to engage them. Any legal advice given in connection with an engagement is given by the relevant Counsel, acting in their own individual professional capacity (or through their own regulated practice, where applicable) and not by Of Counsel. You should always seek advice suited to your specific circumstances from a suitably qualified and regulated legal professional before acting, or refraining from acting, on any matter.

  1. Definitions

In these Terms:

“Content” means all text, images, testimonials, profiles, artwork, graphics, logos and other material made available on the Site, whether provided by us, by Counsel, by Client Businesses or by other third parties.

“Counsel” means the independent lawyers featured within the Of Counsel network.

“Client Business” means a business that engages, or is considering engaging, Counsel from the Of Counsel ‘bench’.

“User“, “you” and “your” mean any person accessing or using the Site.

  1. Using the Site

You may use the Site for lawful purposes only, and in a way that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Site by, any third party.

You must not:

  • use the Site in any way that breaches any applicable local, national or international law or regulation;
  • attempt to gain unauthorised access to the Site, the server on which it is hosted, or any server, computer or database connected to it;
  • introduce any viruses, malware, or other material that is malicious or technologically harmful;
  • scrape, harvest or otherwise systematically extract Content from the Site (including Counsel profiles or testimonials) for any commercial purpose without our prior written consent;
  • misrepresent your identity or affiliation with any person or entity, including by impersonating a member of Counsel, a Client Business, or a member of the Of Counsel team.

We may suspend or restrict your access to the Site, without notice, if we reasonably believe you have breached these Terms.

  1. Testimonials

The Site may feature testimonials and case studies from businesses we have worked with. These reflect the genuine views and experiences of the individuals or businesses named (or, where preferred, anonymised or attributed by initials or sector only), given with their consent.

Testimonials are personal opinions and experiences. They are not a guarantee of the outcome, quality, timing or cost of any future engagement, and individual experiences may vary. Testimonials should not be treated as an endorsement that any particular outcome will be replicated for any other Client Business.

If you have provided a testimonial and wish to have it amended or removed, please contact us at hello@ofcounsel.co.uk.

  1. Counsel profiles

The Site includes profiles of individual members of Counsel, summarising their professional background, qualifications and areas of expertise. These profiles are provided for general information only.

Inclusion of a profile on the Site does not constitute a recommendation, endorsement, guarantee or warranty by Of Counsel as to the suitability, availability, competence or regulatory standing of any individual for any particular matter. While we carry out onboarding checks on members of Counsel (as described in our Privacy Policy), profile content, including experience, qualifications and rates, is provided substantially on a self-reported basis, and Client Businesses should carry out their own due diligence before engaging any Counsel, including verifying current professional registration and insurance where relevant.

Nothing on a Counsel profile constitutes an offer capable of acceptance. Any engagement of Counsel is subject to separate terms agreed directly between the relevant parties.

  1. Our team and growth board

The Site includes information about the Of Counsel team and growth board, including names, roles and biographical information. This information is provided for general informational purposes and to help Users understand who is behind Of Counsel. It does not constitute professional advice or a representation as to the involvement of any named individual in a specific engagement.

  1. Intellectual property

Except as set out in Section 10 below, all Content on the Site, including text, graphics, logos, the Of Counsel name and branding, and the design and layout of the Site, is owned by or licensed to Of Counsel and is protected by copyright, trade mark and other intellectual property laws.

You may view, download and print extracts of the Site for your own personal, non-commercial use, provided you do not modify the Content and you retain any copyright and other proprietary notices. No other use of Content is permitted without our prior written consent.

Nothing in these Terms transfers any intellectual property rights to you.

  1. Third-party artwork

The Site includes a digital Art Gallery which displays certain photographic artwork contributed by artists who are not otherwise associated with Of Counsel other than as the creator of that artwork. This artwork is used with the artist’s permission and is acknowledged accordingly on the Site.

All copyright and other intellectual property rights in this artwork remain with the artist. No part of this artwork may be reproduced, copied, distributed or used for any purpose without the artist’s separate prior written consent. Requests relating to this artwork should be directed to us at hello@ofcounsel.co.uk and we will pass these on to the artist. Where the artist’s contact details are indicated, or a link to another website where the artist’s work is displayed or made available, you may proceed to contact the artist through those channels.

  1. Links to other websites and services

The Site may contain links or buttons directing you to third-party websites, contact tools, scheduling tools or social media platforms. These links are provided for your convenience only. We do not control, and are not responsible for, the content, accuracy, availability or privacy practices of any third-party site or service, and inclusion of a link does not imply endorsement by us. Your use of any third-party site or service is at your own risk and subject to that third party’s own terms and privacy policy.

  1. Enquiries and contact

The Site includes buttons and forms allowing you to contact us. When you submit an enquiry, we will handle any personal data you provide in accordance with our Privacy Policy. Submitting an enquiry does not create any contractual relationship between you and Of Counsel, and we are under no obligation to respond to, or act upon, any enquiry, though we will endeavour to do so where appropriate.

  1. Availability of the Site and no warranty

We aim to keep the Site available and up to date, but we do not guarantee that the Site, or any Content on it, will always be available, uninterrupted, secure or free from errors. We may suspend, withdraw or restrict availability of all or part of the Site at any time, including for maintenance, without notice.

The Site and its Content are provided “as is” and “as available”. To the fullest extent permitted by law, we exclude all representations, warranties and conditions relating to the Site and its Content, whether express or implied.

  1. Limitation of liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under English law.

Subject to the above, to the fullest extent permitted by law, Of Counsel shall not be liable to any User for any indirect or consequential loss, or for any loss of profits, revenue, business, contracts, anticipated savings, data or goodwill, arising out of or in connection with the use of, or inability to use, the Site, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable.

We are not liable for any loss or damage arising from reliance on any testimonial, Counsel profile, or other Content on the Site, or from any engagement entered into with Counsel or a Client Business, which shall be governed by the separate terms agreed between the relevant parties.

  1. Indemnity

You agree to indemnify and hold Of Counsel harmless against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Site.

  1. Privacy and cookies

Our use of personal data collected through the Site, and our use of cookies and similar technologies, are described in our Privacy Policy and Cookie Policy, both available on the Site and incorporated into these Terms by reference.

  1. Changes to these Terms and to the Site

We may update these Terms from time to time to reflect changes in our practices, the Site, or applicable law. The updated version will be posted on the Site with a revised “Last updated” date. Continued use of the Site following any update constitutes acceptance of the revised Terms. We may also change, suspend or discontinue any aspect of the Site at any time.

  1. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

No failure or delay by us in exercising any right under these Terms shall operate as a waiver of that right.

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Of Counsel in relation to your use of the Site, and supersede any prior agreements or understandings relating to that use.

  1. Governing law and jurisdiction

These Terms are governed by, and construed in accordance with, the laws of England and Wales. Any dispute arising out of or in connection with these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of England and Wales.

  1. Contact us

If you have any questions about these Terms, please contact us through the Enquiry Forms available on the Site or via Email: hello@ofcounsel.co.uk.
